Abstract

The four components/principles of Corporate Govemance are Tranparency, Accountability, Responsibility, and Fairness. The four "pillare' are universall applicable regardless of the economic orientation, strategic priorities, or policy choices of the government in question. Over ll, the objectives of this GFP are : 1. To produce Good Corporate Govenance Manual for Gobel International Group as a guideline for company's business practicos 2. To conduct a gap analysis between embedded business practices and the good corporate governance codes 3. To recommend a change strategy for Gobel International Group to be implemented by the end of the year 2001 For the purpose of this Group Field Project (GFP) where PT Gobel International become the sponsoring company. we collect the data of current corporate governance from PT Gobel International (reforred as 'tugas dan tanggung jawab organisasi PT Gobel Intenational) as the source of primary dete, to be put as the basic of our further evaluation. Then we organized some questionnaire to find aut the real perception, understanding and practices of the written corporate govemance in daily operation, especially from the management's point of view (secondary data). The survey was targeted at 30 employees during the mid until end of June 2001. From 30 questionnaires, 25 questionnaire has been received back from PT Gobel International (83.33%), yet 2 (two) of them could not be accepted for further analysis due to incompleteness. Survey respondents were confined to the middle to senior management of the company concerned The survey fieldwork was carried out by IPMI's students, from a questionnaire developed by the team, with OECD principles and JSX Good Corporate Governance as the standard for evaluation. The results highlighted in this survey were based solely on the responses received and data processed by the team. Finally we conduct Gap Analysis. The objective of this step is to identify areas of the current Corporate Govemance, which need any revision and/or improvement to meet the applied standard. This is required to assess the company resources, capability and constraint, to develop a series of action to be taken, in order to reduce the gap to comply with JSX standard. A list of finding and recommendation will be developed base on the questionnaire and interview with all group of the stakeholder in the company.
