Abstract

Currently Good Corporate Governance principles become more popular and implemented by many large companies. Although, in Indonesia implementation or good corporate governance is not mandatory, however for listed and state own enterprise are encourage to implement as part of their responsibilities and transparency to public. Good Corporate Governance guidance and principles that referred by Indonesian companies are the Good Corporate Governance published by KNKG. PT Shalita Citra Mandiri (SCM) is a small unlisted company who is willing to apply GCG principles as part of SCM plan to face challenges in global market. In this report, we analyze the current business practice in SCM through its business model canvas and the current corporate governance practices in the company. We collected primary data based on questionnaire and interview with the company’s top management. Secondary data is collected from company profile, article of association, and other relevant reports. Our analysis comes up with findings that SCM like other typical small unlisted companies are still lack of governance. In term of financial, SCM has possibility to grow as its revenues growth in average more 20% per year. In order to have sustainable growth, implementation of good corporate governance can be a strategy for the company’s growth. Our analysis also covers SCM’s business model and how the good corporate governance adds value to SCM’s business model. Based on that analysis, we propose recommendations for implementing GCG and additional recommendation for improving its business model. The recommendation divided into 3 periods as a roadmap for the Company and prioritized based on the current condition of the Company and assumption of growth and changes the Company structure and business size and complexity.
